Board Effectiveness

A board can follow every rule and still fail to govern. Effectiveness is what happens in the room.

Board effectiveness is about how a board actually works, not how it looks on paper. Who sets the agenda, how long the debate runs, whether a dissenting voice is welcome, whether papers arrive early enough to be read. A board with the right people and the wrong habits will govern badly; a board with ordinary people and good habits often governs well.

The pieces are familiar: a chair who draws out the quiet member, committees with a clear job, a mix of skills and experience that covers what the organisation faces, and an honest look at its own performance on a regular basis, which governance codes such as the King Code in South Africa and the UK Corporate Governance Code expect. None is difficult. What is hard is keeping them going when the business is busy and nothing seems wrong.

This theme is about the practical craft of sitting on a board: preparing, questioning, challenging constructively, and leaving each meeting with decisions that someone owns.

Who needs to know this
